Abstract

Tujuan dalam Kerja Praktek ini yaitu untuk mengatasi permasalahan yang dihadapi oleh Kantor Notaris PPAT Andreas Timothy, SH., M.Kn mengenai akusisi perseroan terbatas khususnya penanaman modal dalam negeri. Permasalahan yang ditemui yaitu investor-investor yang belum memahami dalam prosedur pelaksanaannya untuk mengakuisisi suatu perusahaan dimana perusahaan tersebut ingin membeli suatu perusahaan berikut dengan segala asetnya yang dapat terjadi karena beberapa faktor. Sehingga disusun suatu prosedur yang dapat mempermudah pelaksanaan tersebut. Metode yang digunakan oleh Penulis dalam pelaksanaan Kerja Praktek ini terbagi dalam 3 (tiga) tahap. Tahap pertama dimana tentunya Penulis meminta izin terlebih dahulu untuk melakukan penelitian di Kantor Notaris & PPAT Andreas Timothy, SH., M.Kn kemudian mencari permasalahan yang sedang dihadapi dan mengumpulkan data-data yang diperlukan baik melalui observasi ataupun wawancara setelah itu mengolah data-data tersebut. Kemudian dalam tahap pelaksanaan dimana Penulis merancang suatu prosedur dalam mengakuisisi suatu perusahaan penanaman modal dalam negeri dan pembahasan permasalahan-permasalahan yang akan ditemui, langkah-langkah pelaksanaan yang akan membantu baik karyawan dari Kantor Notaris & PPAT Andreas Timothy, SH., M.Kn serta para investor. Setelah prosedur telah selesai dibuat, Penulis membuat prosedur tersebut dalam bentuk suatu Laporan yang kemudian akan dilakukan penilaian oleh tempat penulis melakukan penelitian dan dosen pembimbing. Luaran proyek yang dihasilkan dalam kerja praktek ini diharapkan dapat memberikan manfaat dan kemudahan kepada kantor Notaris & PPAT di mana Penulis melakukan kerja praktek, yaitu menyusun Prosedur Akuisisi Perseroan Terbatas pada Penanaman Modal Dalam Negeri di Kota Batam. ********************************************************************** The purpose of this Practical Work is to overcome the problems faced by the Notary & PPAT Office, Andreas Timothy, SH., M.Kn regarding limited liability acquisition, especially domestic investment. The problems encountered is that investors who do not understand the implementation procedure to acquire a company where the company wants to buy a company with all its assets that can occur due to several factors. So that a procedure is prepared that can facilitate the implementation. The method used by the author in the implementation of this Practical Work is divided into 3 (three) stages. The first stage where of course the author asks permission in advance to conduct research at the Notary & PPAT Office Andreas Timothy, SH., M.Kn then look for problems that are being faced and collect the data needed either through observation or interview and then process the data collected. Then in the implementation stage where the author designs a procedure for acquiring a domestic investment company and discussing the problems that will be encountered, the implementation steps will help both employees of the Notary & PPAT Office Andreas Timothy, SH., M.Kn as well as investors. After the procedure has been completed the author makes it in a report which will then be assessed by the place where the author conducts the research and the supervisor. The project output generated in this practical work is expected to provide benefits and convenience to the Notary & PPAT office where the author carries out practical work, which is to help develop the Procedure for Acquisition of Domestic Investment Limited Liability Companies in Batam City
