Abstract
Penelitian ini berorientasi dalam membuktikan pengaruh tata kelola perusahaan di Bursa Efek Indoensia terhadap nilai perusahaan. Variabel dependen dari penelitian ini ialah nilai perusahaan menggunakan pengukuran berbasis pasar yaitu Tobin’s Q. Sedangkan variabel independen menggunakan tiga pendekatan diantaranya, yaitu struktur dewan direktur (ukuran, pendidikan dewan direksi, frekuensi rapat, kepemilikan manajerial), struktur dewan komisaris (ukuran, proporsi komisaris independen, jumlah rapat) dan struktur komite audit (ukuran komite audit). Populasi pada penelitian ini ialah perusahaan nonfinansial yang ada di BEI tahun 2013-2018 dengan laporan tahunan yang telah diaudit. Didapatkan sampel sebanyak 357 perusahaan yang perolehan data dilakukan secara sekunder menggunakan teknik purposive sampling. Pengujian data memanfaatkan program SPSS dan Eviews untuk menghasilkan regresi panel. Hasil pengujian membuktikan bahwa terdapat hubungan signifikan antara ukuran direksi, pendidikan direksi, jumlah rapat direksi, kepemilikan manajerial direksi, ukuran komisaris, proporsi komisaris independen, ukuran komite audit terhadap nilai perusahaan. Indikasi lain ialah rapat dewan komisaris tidak memiliki pengaruh yang signifikan pada nilai perusahaan. ********************************************************************** This research oriented in proving the effect of corporate governance of companies In Indonesia Stock Exchange (IDX) on company value. The dependent variable of this study was firm value using market-based measurements namely Tobin's Q while the independent variable used three approaches including the structure of the council directors (size, council directors education, meeting frequency, managerial ownership), the structure of the council of commissioners (size, proportion of commissioners independent, number of meetings) and audit committee structure (audit committee measurement). The population in this study was nonfinancial companies on the Indonesia Stock Exchange during 2013-2018 with audited annual reports. There were 357 companies obtained as samples with secondary data acquisition using purposive sampling technique. Data testing utilized SPSS and Eviews programs to produce panel regression. The test results prove that there is significant relationship between the directors’ measurement, council directors 'education, number of directors' meetings, managerial ownership of directors, commissioner’s measurement, proportion of independent directors, and audit committees measurement to firm value. Another indication is that the council commissioners' meeting does not have significant effect on the value of the company.
